The Fall 2005 Audit Committee Roundtable
At the Dallas Fall 2005 Audit Committee Roundtable, Accounting
Judgments, Estimates, and Restatements: Implications for Audit Committee
Oversight, we will explore the process used by audit committees
to evaluate and oversee management's accounting policies, especially
significant accounting judgments and estimates that underlie the
company's financial reporting. We will also discuss some of the
reasons for the increasing number of financial restatements, as
well as accounting "red flags" such as earnings management
techniques. Attorneys and forensic accountants will address issues
to be considered when a significant accounting issue, with possible
financial restatement implications, is identified, and will discuss
the audit committee's role in the oversight of internal investigations.

Max S. Carrier, Dallas Business Unit Partner in Charge, Audit
and Risk Advisory Services
KPMG LLP (U.S.)
During his 25 years with KPMG, Max Carrier has developed extensive
experience in providing accounting, internal control, outsourcing,
and business advice to publicly traded and privately held domestic
and international companies. Mr. Carrier has advised and assisted
public entities on initial public offerings, registration of equity
and debt securities, and 1934 Act reporting, and has assisted companies
as they work to implement business operating improvement programs.
Max received a bachelor's degree from The Ohio State University.
He is a member of the American Institute of Certified Public Accountants
and the Texas Society of Certified Public Accountants, The Dallas
Petroleum Club, The Ohio State University Alumni Association and
the treasurer for the National Association of Corporate Directors
North Texas Chapter. He has previously served as a Committee Chairman
for the Houston Chapter of the Texas Society of Certified Public
Accountants. Max has been a panelist at several conferences discussing
audit committees and corporate governance and also serves as the
Dallas moderator for KPMG's Audit Committee Institute roundtable
series, focusing on the responsibilities of today's audit committee
members.
