A derivative is a transaction, contract or arrangement, whose value is derived from and is dependent on the value of an underlying asset such as equities, currency or commodities.

An over-the-counter (OTC) transaction, is one which is negotiated and agreed directly between two parties and does not go through an exchange. Common examples of OTC Derivatives are swaps and forward rate agreements.
