Christophoros is a Board Member of KPMG Limited and has extensive experience in the field of Financial Advisory Services. He has been involved in valuations, mergers and acquisitions, financial modelling and group restructuring exercises for many public and private companies from different sectors. Through this wide hands-on experience, he has gained unique in-depth knowledge of the valuation dynamics in practical situations. He has attended a number of relevant courses and has been responsible for the training of staff on the subject matter. Christophoros has a ΒSc in Economics (Accounting and Finance) from the London School of Economics, is a Member of the Institute of Chartered Accountants in England and Wales (ACA), and holds the Corporate Finance (CF) qualification from the same Institute. |

Meropi is a Senior Advisor in the Financial Risk Management Department of KPMG Limited. She holds a BSc degree in Statistics and Actuarial Financial Mathematics, and an MSc in Monetary and Financial Economics. She has experience in the implementation of various advisory engagements in relation to Financial Risk Management, Basel II and Solvency II calculations and frameworks.
During the last three years, she has been involved in numerous Basel II, Solvency II and Risk Management projects for several banks, investment firms and insurance firms in Cyprus and abroad, such as Pillar 1 capital adequacy calculations, QIS4 and QIS5 implementation, Solvency II Gap Analysis, Operational Risk, Management frameworks, etc. Additionally, she has participated in the development of the Pillar I calculation engine software for Basel II purposes which has been implemented in a number of credit and financial institutions in Cyprus and abroad.
Meropi has delivered trainings to the Boards of Directors of different banking organizations in the financial services sector and to the senior management of many financial services firms in subjects relating to Basel II, Solvency II, and Risk Management. Moreover, she has delivered educational seminars on capital adequacy regulatory provisions to CySEC's executives and to financial institutions. |

Antonis holds the professional titles of ACCA (Associate Chartered Certified Accountant), CIA (Certified Internal Auditor) and CISA (Certified Information Systems Auditor). He is a member of ACCA, the Institute of Certified Public Accountants of Cyprus, the Institute of Internal Auditors and the Information Systems Audit and Control Association.
He has more than seven years experience in the provision of services to clients in the areas of IT Audit, controls assessment, process re-engineering and internal audit. He has been involved in the planning, analysis and design phases of large IT advisory projects both in Cyprus, and abroad, in the areas of IT Audit, Business Process Improvement and Information Technology risk assessments.
Prior to joining KPMG in June 2004, Antonis had been employed at PricewaterhouseCoopers, where he was involved in the preparation of Financial Statements of various clients and the general administration of international / offshore entities. Antonis is also a part time lecturer for the ACCA qualification and a member of the Financial Crime and Forensic Accounting Committee of the Certified Public Accountants of Cyprus. |

Harry holds a BSc of Commerce in Accounting, Finance and Systems and he is a member of the Certified Public Accountants of Australia, the Institute of Certified Public Accountants of Cyprus and an affiliated member of the Institute of Chartered Accountants in England and Wales. He joined KPMG in 2005 starting his career as the Director of the Indirect Tax Department. He was promoted to the position of Board Member in January 2007.
His role as a Board Member in the Indirect Tax Department in Cyprus has allowed him to offer services to clients in various industries and semi-governmental organizations, such as real estate, tourism, passenger and freight transport, telecommunication and international business in supplying goods and services.
Prior to assuming responsibilities at the Indirect Tax Department, Harry worked as a Private Business Manager in KPMG Darwin, where he was involved in Financial Services work such as liaising with clients for tax planning and consulting for the preparation of Financial Statements and Reports. Later on, he joined Cyproman Services Ltd where he worked as a Senior Manager responsible for the International Business Sector and VAT issues. Harry was also elected president of the VAT committee of ICPAC for a two year period from 2008 to 2010 and his duties included, among others, liaising with the VAT Commissioner and Minister of Finance. |

Constantinos is a senior manager in the Financial Advisory Department of KPMG Limited in Cyprus. Constantinos holds a BA (Hons) in Accounting and Finance from the Lancaster University in the United Kingdom. He has obtained his professional qualification from the Institute of Chartered Accountants in England and Wales (ICAEW) in 2006. He has also been a member of the Institute of Certified Public Accountants of Cyprus since 2007.
Constantinos joined KPMG in 2003 and had been working in the Assurance Department of KPMG until 2007. Since 2007 he has been exclusively involved in the provision of Financial Advisory Services and on 1 January 2010, he became manager. Constantinos has extensive experience in the preparation of feasibility studies and/or valuations in different sectors of the economy, group and operational restructuring projects and in depth knowledge of the parameters involved in Mergers & Acquisitions.
The projects executed include valuations of private and public companies, M&A (Mergers & Acquisitions) appraisals, financial analysis, as well as, financial and operational due diligence. His sector experience includes Insurance, Retail, Banking and Manufacturing. Andreas is a member of the Institute of Chartered Accountants in England and Wales (ICAEW) and a member of the institute’s Corporate Finance Faculty. He has joined KPMG Cyprus in 1979 and since 2000 he has been the Managing Director and the Head of Advisory Services. Andreas has a long experience in acting as an advisor for public and private companies as well as assisting in decisions relating to corporate strategy, financial, and organizational issues.
He has participated and/or managed a number of engagements such as mergers and acquisitions, floatation advisory projects regarding preparation of prospectuses for listing in the CSE, debt and equity advisory projects in setting up financial projections.
Mr. Christofides advised a selection of clients such as, Orphanides Public Co, Alpha Bank, Sunrise Hotels, Meridien Hotels, Muskita Aluminium, Petrolina Group, Lefkaritis Group and Vassos Eliades Group. Furthermore, Mr. Christofides has a significant teaching experience and he has served for six years as a principal lecturer at one of HRDA’s programs which aimed in helping medium size companies to restructure and prepare business plans. |

Argyro Efstathiou holds a BA Hons in Economics with specialization in Accounting and Finance, from the University of Manchester. Argyro has been working in KPMG’s Assurance Department since 2002 and currently holds the position of Senior Manager. George holds the professional qualification of the Association of Chartered Certified Accountants(ACCA). He initially joined Pricewaterhouse Coopers in 2001 as a trainee certified accountant. In 2007, George progressed from PWC, from the position of assistant manager in Tax and Legal Services, to join KPMG Cyprus. As a manager within KPMG’s Tax Services Department, George is responsible for providing tax compliance services to a large portfolio of clients which operate in retail, construction, information technology and insurance industries. In 2009 George was granted the title of Fellow Certified Chartered Accountant (FCCA). The last 3 years, George has prepared and presented a number of tax seminars to the employees of KPMG on various current tax issues. |

Bruce was the transaction manager for Europe’s first securitisation transaction in 1987. Having commenced his securitisation career on the Issuer's side, he moved into lead management having been European Head of Securitisation for each of the following, UBS Limited, Daiwa Securities, Sakura International and National Australia Bank. He has been responsible for transactions in Europe, Japan and Malaysia. Over the past eight years Bruce has been a leading trainer and consultant in securitisation across five continents and an acknowledged authority on identifying the errors of certain types of securitisation transactions during the development of the credit crisis. In addition to training, Bruce continues to be involved in both securitisation and residential mortgage markets in Europe. |

George graduated in Law from Bristol University in 1999. In 2000, he was called to the Bar of England & Wales by the Honourable Society of the Inner Temple. He returned to Cyprus in 2000 to commence his Cypriot legal training and was called to the Cypriot Bar in 2001. He is a civil practitioner, specializing in contentious and non-contentious employment & pension matters, as well as all forms of dispute resolution, including arbitrations.
George Z. Georgiou is a member of the Chartered Institute of Arbitrators (MCIArb). He regularly lectures in both English and Greek, on Cypriot employment and pension laws. He has also written many articles, which have been published in books, journals and on the internet.
George Z. Georgiou is on the board of directors of the European Employment Lawyers Association (EELA) and the board of National Correspondents for the European Employment Law Cases journal. Artemis Hadjivarnava is a Senior Consultant in the Financial Risk Management department of KPMG Ltd Cyprus. She holds a BA and an MSc and has previously worked as a financial dealer in the Dealing Room of a Cypriot investment firm.
Artemis has experience in the implementation of various assurance and advisory engagements with relation to external risk management, Basel II calculations, operational risk frameworks and overall regulatory compliance. She has participated in Basel II projects with several banks and investment firms in Cyprus, assisting them in the quantification of risks and the calculation of minimum capital requirements. She has also performed audits of Pillar 1 calculations and delivered educational seminars on capital adequacy regulatory provisions and capital efficiency to banks and investment firms. Furthermore, Artemis has had an active role in the transposition of the European Council’s CRD 2 provisions into CySEC legislation.
Currently, Artemis is involved in projects relating to the calculation of the capital adequacy of banks and investment firms, the Internal Capital Adequacy Assessment Process (“ICAAP”), the transposition of the CRD 3 provisions into local legislation, the preparation of suitability reports (Client Assets regulatory requirements) and the review of Pillar 3 disclosure requirements. |

Zakis Hadjizacharias holds a BA in Accounting and Finance and he is a member of the Institute of Chartered Accountants of Scotland and of the Institute of Certified Public Accountants of Cyprus. He joined KPMG UK in 2001, as a trainee chartered accountant. Zakis moved to KPMG Cyprus in 2004 and he is taking responsibility for a major portfolio of clients, including entities and groups involved in security, construction, investment funds and real estate development. Constantinos obtained his LL.B. from the University of Athens and became a member of the Athens Bar in 2003. He continued his studies in Germany and in Luxembourg obtaining an LL.M. in Administrative Law from the University of Heidelberg, a Master in Business Law and Taxation (MBLT) from the University of Mannheim and an LL.M. in European Community Law litigation from the University of Luxembourg.
In Luxembourg he also worked as a legal advisor for Société Générale Securities Services in its quality as service provider for Luxembourg UCITS and non- UCITS (SIF, SICAR) Investment Funds. He has also worked in the Investment Funds branch as an external advisor for Merrill Lynch and has provided legal advice to Greek commercial companies regarding sales distribution contracts and their negotiation.
Constantinos joined KPMG in January 2010 and is working as a legal advisor regarding Investment Funds. Within the scope of his duties fall the legal update regarding both UCITS and non- UCITS investment Funds, presentations on any major developments affecting the Investment Funds markets, regulatory comparisons and knowledge management of Investment Funds related legal information. |

Maria A. Karantoni holds a Bsc Hons in Accounting and Economics from the City University in London. Maria has been working in the Assurance Department of KPMG since 2001 and currently holds the position of Board Member. Costas is a Southern Illinois University graduate holding a Masters degree in Accountancy with special concentration on International Taxation. He has been the recipient of two full academic scholarships and has graduated first in his class at the College of Business Administration with a perfect score. Costas is a Certified Public Accountant in the United States and a member of the American Institute of Certified Public Accountants (AICPA). Before taking up employment with KPMG, Costas worked as the director of research for the Center of Financial and Tax Planning in the US.
He returned to Cyprus in 1999 and was employed in one of the Big 4 in Cyprus. Since 2002 he has been working for KPMG in Cyprus and as of 2011 he is a Board Member. Costas has extensive knowledge in the field of International Taxation and Tax Planning. He has been advising clients on structuring their corporate local and international tax affairs, on cross border mergers and acquisitions as well as, European issues of Social Security. Before joining KPMG Cyprus, Eleni had been working at KPMG UK where for a number of years advised international banks investment firms and insurers on her areas of specialization. Eleni has completed a 9-month secondment to the Financial Services Authority where she supervised the implementation of Basell II Pillar 2 in the banking sector and was involved in the Supervisory Review and Evaluation process (SREP) for setting of individual capital guidance for banking institutions based on the ICAAP document. |

He has been a free-lance consultant since 1979 and he has worked in a wide spectrum of companies and industries in many countries. Sotiris K. Staikouras serves as an Associate Professor of Finance at Cass Business School, City University, London. He holds a BSc degree in Business Administration with major in Accounting and Finance from the University of Piraeus in Greece, an MSc degree in Business Finance from Brunel University in London, and a PhD degree in Finance at Cass Business School. Prior to his academic career, Dr. Staikouras worked as a financial analyst and then as a research advisor for the London Clearing House and other institutions. After joining Cass, he became the Director of the postgraduate and undergraduate programmes in the Department of Investment, Risk Management & Insurance. He has been the Director of the undergraduate programmes since 1998, and he is also a member of various Boards and Committees including the Senate at City University.
His major research interests are risk analysis and management of financial institutions, asset pricing and financial modelling. He has been invited in more than thirty international conferences, and has also served in their programme committees. Dr. Staikouras is a prolific writer in the area of financial institutions and has served in the editorial boards of academic journals. Dr. Staikouras is a Visiting Scholar at ALBA Graduate Business School, Athens, Greece; and at the Cyprus International Institute of Management, Nicosia, Cyprus. He is a member of the Chartered Insurance Institute (CII) Financial Services Accredidation Committee, and Academic Advisor of subject areas for the CII. George is experienced in the development and implementation of Risk Management, IT Governance and Information Security ISO27002 Management frameworks with a focus on improving performance and maintaining control.
He has also managed and participated in engagements for the enhancement and automation of core business and technology processes aiming to reduce costs and achieve other critical business objectives. He has managed and delivered a number of Information Security and Internal Control compliance engagements in the USA, Switzerland, Cyprus and other countries. Furthermore, he has managed and participated in the development and establishment of Business Continuity and Disaster Recovery Plans and has acted as a core member of Global PMO Offices for the management of international engagements focusing on compliance and performance improvement. George has served as the acting Information Security Officer for a Swiss private bank and has participated in advisory engagements. |

Pangratios Vanezis graduated from Lancaster University with a BA in Accounting & Finance. He qualified as an Associate member of the Institute of Chartered Accountants in England and Wales in 2006. He has been working with KPMG in Cyprus since 2003 where he gained his relevant experience. Pangratios is a Senior Manager in the audit services and has a versatile industry experience from the financial services sector, consumer products as well as more specialized sectors such as the airline transport industry and food and beverages. He is actively involved in a number of committees and groups within KPMG, namely the training group providing training and support within KPMG, and the International Financial Reporting Standards group providing insights, consultation and training on financial reporting issues both internally and externally. |

Christos holds a BA in Economics and Accounting (Joint Honours) and he is a Fellow member of the Institute of Chartered Accountants in England and Wales (ICAEW), and of the Institute of Certified Public Accountants of Cyprus. He also holds the CF qualification of the ICAEW.
He joined KPMG in 1994 and became a partner in 1999. He started his career as a Partner in the Audit Department, focusing on the financial services sector. He has also taken responsibility for a major portfolio of clients, including subsidiaries of global entities such as Motorola, Adidas, as well as a lot of large local Companies like Hermes Airports, Hellenic Bank plc and Alkis H. Hadjikyriacos (Frou – Frou Biscuits) Limited. He is also involved in the audit of semi- governmental organizations like CYTA. Furthermore, Christos is greatly involved in the advisory unit of KPMG.
He is currently heading the Financial Transactions and Risk Compliance Units of KPMG. He is also the Head of KPMG Academy, the recently set up unit of KPMG whose aim is to turn knowledge into value for the benefit of its clients and the society in general by offering high quality seminars and trainings. His role as a Board Member in Advisory in Cyprus has allowed him to offer services to organizations such as semi-governmental entities, various commercial banks, technology providers, fast moving consumer goods companies and others. |

Vlamis Panos Officer, Central Bank of Cyprus |

Panos Vlamis is a supervisor at the Bank Supervision and Regulation Department. His responsibilities include the drafting of directives and guidelines to banks, the supervisory validation of internal-rating based models of banks and the assessment of bank applications to use internal models in the calculation of capital requirements. Over the last year he has participated in the drafting of the Cyprus covered bond legal framework. Currently he participates in the review of applications of banks to issue covered bonds. |

Tassos graduated with first class honours from the University of Warwick with a BSc in Accounting and Finance. He has been a qualified chartered accountant (ACA) since 2005. He is currently employed as a Principal in KPMG Limited, in which he has developed a well structured clientele portfolio including both, listed and private corporations. He is specialized in the valuation and the reporting of financial instruments, tax computations and has been engaged in several due diligence projects.

Ms. Zambakidou was called to the Bar by the Middle Temple and has completed her Post Final Practical Training Course at the Council of Legal Education, UK. Upon her return to Cyprus Mr. Zambakidou commenced her legal training in Cyprus and was called to the Cypriot Bar in 1971.
She has worked at the Insurances Consortium from 1977-1995 as a Manager of the Claims Department, while in 1995 she was employed as a lawyer at Skordis & Papapetrou Law Firm until 1999, when she was appointed as a Judge at the Employment Court. Ms Zambakidou was elevated to President of the Court in 2008 from where she retired in 2011.
