Corporate and Accounting Law

Parallel to the revision of the limited liability company (GmbH) law, various changes have been made to corporate law ("minor revision of corporate law”). Some modifications were also made to the commercial register law and in company law.

GmbH Law

With the revision of the Swiss Code of Obligations, the legal structure of the limited liability company (GmbH) in Switzerland shall consistently be established as a personal capital company.

Audit Law

On December 16, 2005, in parallel to the revised GmbH (limited liability company) law, the Federal Assembly approved the revised audit law in the Swiss Code of Obligations, as well as the new Audit Oversight Act (RAG).
